Disclaimer and End User License Agreement
This is a legal agreement between you, the end user, and StockwarePro, the developer of the software program ("StockwarePro"), regarding your use of StockwarePro products and services ("Software"). By installing the Software, you agree to be bound by the terms of this agreement.
Grant of License
StockwarePro grants you a license to use one copy of the version of this SOFTWARE on any one system for as many licenses as you purchase. "You" means the company, entity or individual whose funds are used to pay the license fee. "Use" means storing, loading, installing, executing or displaying the SOFTWARE. You may not modify the SOFTWARE or disable any licensing or control features of the SOFTWARE except as an intended part of the SOFTWARE's programming features. Sharing this Software with other individuals, or allowing other individuals to view the contents of this Software, is in violation of this License. You may not make the Software available on a network, or in any way provide the Software to multiple users, unless you have first purchased at least a multi-user license from StockwarePro. If you have purchased a rental version of the software, you must purchase and renew the license if you wish to use it beyond the expiry date of the license.
Evaluation / Refund Policy
When you first obtain a copy of the SOFTWARE, you are granted an evaluation period of not more than 10 days, after which time you must pay for the SOFTWARE according to the terms and prices discussed in the SOFTWARE's documentation, or you must remove the SOFTWARE from your system. This license is not transferable to any other system, or to another organization or individual. During this evaluation period, all terms of license mentioned on this page will be applicable. You are expected to use the SOFTWARE on your system and to thoroughly evaluate its usefulness and functionality before making a purchase. This "try before you buy" approach is the ultimate guarantee that the SOFTWARE will perform to your satisfaction; therefore, you understand and agree that there is no refund policy for any purchase of the SOFTWARE.
Ownership
The SOFTWARE is owned and copyrighted by StockwarePro. Your license confers no title or ownership in the SOFTWARE and should not be construed as a sale of any right in the SOFTWARE.
Copyright
The SOFTWARE is protected by United States and Indian copyright laws and international treaty provisions. You acknowledge that no title to the intellectual property in the SOFTWARE is transferred to you. You may not remove or conceal any proprietary notices, labels or marks from the Software.
Trademarks
StockwarePro and StockwarePro logos and other related marks used in the website stockwarepro.com and in the SOFTWARE are the property of StockwarePro. All other trademarks and logos used in the site, with or without attribution, belongs to their respective owners.
Use of Third Party Content
StockwarePro uses technology, data and information supplied by third party websites and agents for the operation of its website and Software. StockwarePro cannot guarantee the reliabilty, trustworthiness or continuity of operation of these sources and StockwarePro assumes no responsibility and makes no representation, warranties, endorsements or approvals for these third party information. Any opinions, financial advice, statements made by any third party are those of the respective owners. The end user assumes responsibilty to verify and confirm the information and should use that information on his/her sole discretion.
In the event of the data provider unable or unwilling to supply StockwarePro with the necessary information for its operation, StockwarePro will not be able to provide the user with its services, and end user agrees to imdemnify and hold StockwarePro and its subsidiaries harmless against any claims or damages arising out of this disruption of service.
Restrictions on use
You may not, and you may not permit others to (a) reverse engineer, decompile, decode, decrypt, disassemble, or in any way derive source code from, the Software; (b) modify, distribute, or create derivative works of the Software; (c) copy (other than one back-up copy), distribute, publicly display, transmit, sell, rent, lease or otherwise exploit the Software; (d) decipher the formulas or the technology or theory behind it.
No other warranties
StockwarePro software does not warrant that the services of software are uninterrupted or error free. StockwarePro software disclaims all other warranties with respect to the software, either express or implied, including but not limited to implied warranties of merchantability, fitness for a particular purpose and noninfringement of third party rights. Some jurisdictions do not allow the exclusion of implied warranties or limitations on how long an implied warranty may last, or the exclusion or limitation of incidental or consequential damages, so the above limitations or exclusions may not apply to you. This warranty gives you specific legal rights and you may also have other rights, which vary from jurisdiction to jurisdiction.
No Rendering of Financial Advice
StockwarePro or its owners are not financial advisors and your use of the SOFTWARE or website is not intented to create a financial advisor - client relationship with you or any other person. The information, data or material provided through the website does not constitute financial advice and should not be used as a substitute for the advice of a competent, licensed financial counsel.
We have not considered your financial goals, objectives or background. Before making any investment decisions based on information provided by the any of our products, you should carefully consider, with or without the help of a competent financial advisor, if that information is suitable to meet your financial objectives.
Severability
In the event of invalidity of any provision of this License, the parties agree that such invalidity shall not affect the validity of the remaining portions of this License.
Limitation of Liability
In no event shall StockwarePro software or its suppliers be liable to you for any consequential, special, incidental or indirect damages of any kind arising out of the delivery, performance or use of the software, even if StockwarePro software has been advised of the possibility of such damages. In no event will StockwarePro software have liability for any claim, whether in contract, tort or any other theory of liability, exceed the license fee paid by you, if any.
All financial transactions entered into by the end user as a direct or indirect outcome of the use of StockwarePro should be under the sole discretion of the end user and StockwarePro will not be held liable for any damages of any kind arising out of that transcation. Also StockwarePro will not have any claim over any financial benifits or profits that the end user may receive as a result of use of the SOFTWARE.
Modification or Termination of Services
StockwarePro reserves the right to modify the content or functionality of the website or SOFTWARE or terms described in the license agreement at any time and without notice. Any change or modification made will become effective immediately upon publishing on the website, and your continued use of its services means that you have agreed to the changes or modifications made by StockwarePro. StockwarePro is not required to inform you of the changes made and you are expected to check the license agreement published in its website from time to time. StockwarePro reserves the right to discontinue its service, or cancel or suspend part or all of its operation without issuing prior notification to its users. If the user wishes to discontinue the service, they can contact the customer service email requesting their license be removed.
Governing Laws and Jurisdiction
This agreement shall be governed by, construed and enforced in accordance with the laws of state of Kerala, India. You agree that any legal lawsuit, claim or dispute brought by StockwarePro, you or any third party to enforce this agreement, or in connection with any matters related to this site or SOFTWARE, shall be subject only to the jurisdiction of the state courts located in Trivandrum, Kerala, India, and you hereby expressly waive any challenge to the jurisdiction or venue of such courts.
Acknowledgement
By downloading and installing the software, or by using any services rendered by StockwarePro, you acknowledge that you have read and understood the fore going and that you agree to be bound by its terms and conditions. You also agree that this agreement is the complete and exclusive statement of agreement between the parties and supersedes all proposed or prior agreements, oral or written, and any other communications between the parties relating to the license described herein.
